Odoo Enterprise licenses and hosting are handled separately and billed directly by Odoo S.A. to MEDICA.
Support SLA: The $3,000 annual support fee starts upon go-live date and is billed annually. First 2 weeks of hypercare support immediately post go-live are included in the implementation package.

1. Module Copyright Protection:
The implementation price includes AlShayeb's pre-developed modules (Check Management, FEFO Automation, Advanced Access Rights, Internal Approval Workflows, etc.). These modules remain the copyrighted property of AlShayeb Partners for 5 years from the contract date. MEDICA receives a license to use these modules during the contract period.
2. Odoo.sh & GitHub Management:
AlShayeb Partners will manage and maintain Odoo.sh hosting platform and GitHub repository for the duration of the support contract. Any MEDICA personnel requiring access to GitHub repository must sign a Non-Disclosure Agreement (NDA) with AlShayeb Partners, subject to applicable fees for access management and code security protocols.
3. Minimum Support Commitment:
In consideration of the special discounted implementation price ($7,500 vs regular $10,000), MEDICA agrees to maintain the Annual Support & Maintenance agreement with AlShayeb Partners for a minimum period of 5 years from the go-live date, contingent upon AlShayeb Partners delivering satisfactory service quality, timely support response, and meeting all agreed service level commitments as outlined in the Support SLA.
Full terms and conditions will be specified in the implementation agreement contract.

Pre-developed modules (Check Management, FEFO, Access Rights, etc.) remain AlShayeb's copyrighted property for 5 years. MEDICA receives full usage license. Custom-developed modules (Guarantee, Cost Center, Bonus Quantity) are owned by MEDICA.
AlShayeb manages Odoo.sh and GitHub repository. MEDICA personnel requiring GitHub access must sign NDA with AlShayeb, subject to applicable fees for access management and security protocols.
In consideration of 25% discount ($2,500 savings), MEDICA agrees to maintain Annual Support agreement for minimum 5 years from go-live, contingent upon AlShayeb delivering satisfactory service quality and meeting all SLA commitments. MEDICA may terminate early if service quality fails.
